Tokenization has become an institutional infrastructure discussion rather than only a crypto narrative. The Bank for International Settlements describes the potential to integrate records, rules, reconciliation, and settlement on programmable platforms. Korea’s security-token legislation is also creating a clearer path for regulated tokenized securities.

The opportunity is real, but many RWA concepts begin at the wrong layer. Before choosing a chain or token standard, the team must define the legal claim, authoritative record, servicing process, cash leg, eligible participants, and failure handling.

Write the asset-to-token chain of title

Identify the real or financial asset, owner, issuer or special-purpose entity, holder rights, restrictions, valuation source, cash-flow obligations, and enforcement route. State what the token proves and what it does not. If an off-chain registry or contract remains legally authoritative, explain how it is synchronized with the ledger.

Counsel should review the structure in the target jurisdictions. Labels such as RWA, membership, or NFT do not override the economic substance of the rights.

Design servicing and corporate actions

Model interest, rent, dividends, fees, tax, votes, notices, transfers, default, maturity, redemption, and dispute handling. Decide which events execute automatically and which require approved off-chain confirmation. Every automation needs an exception path and an auditable owner.

Keep personal or confidential data off public chains unless the architecture and legal basis explicitly support it. Use references, permissions, and verifiable records rather than publishing sensitive files.

Prove settlement and reconciliation

A token delivery without a reliable cash leg can recreate the delays and counterparty risk the product claims to remove. Map subscription, payment confirmation, issuance, secondary transfer, cash distribution, and redemption as one sequence. Reconcile the chain, issuer books, custodian, bank, and administrator.

Test partial failures: cash sent but tokens not issued, transfer completed but registry update delayed, incorrect valuation, lost credentials, sanctioned recipient, or chain outage.

Turn the pilot into credible market material

Publish a plain-language architecture, rights summary, risk and fee disclosure, partner roles, technical evidence, and current pilot status. Do not blur a proof of concept with a regulated offering. Qualified prospects should be able to request the deeper data room through a clear contact route.
